What Spite is

Spite is software that helps nightlife venues run events and operate an open affiliate (promoter) program — trackable links, guest registration, door check-in, and commission settlement. Venues are independent businesses; Spite is the technology provider, not the event organiser or seller of alcohol.

Promoter commission — earned on verified arrivals only

A promoter earns commission only on a verified event: a guest they referred who is scanned in at the door (a verified arrival), or a completed payment. No commission is ever earned on clicks or sign-ups alone. Each commission records the exact rate applied at that moment, so payouts are never recomputed after the fact.

The venue sets the commission rate for each event and may adjust it, including a custom rate for an individual promoter. A promoter's audience reach is shown to the venue as context only — it never automatically sets a rate.

Money flow & platform fee

When card payments are enabled, Spite (via Stripe) charges guests for deposits and tickets, then settles promoter commission and the remainder to the venue. Promoters are paid in full — their commission is never reduced by the platform fee. The platform fee is charged to the venue as a percentage of processed sales (deposits + tickets).

During the current pilot, money does not move through Spite: deposits and tickets are recorded for attribution and reporting, but charging, payouts and refunds via Stripe Connect arrive in a later phase. Bar and alcohol spend is never processed through Spite.

Deposits & refunds

Deposit and refund policies (for example, refundable deposits versus no-show forfeits) are set by the venue per event. Any chargeback or refund is handled according to that policy and the applicable payment-processor rules.

Acceptable use

Don't misuse the platform: no fraudulent bookings or check-ins, no gaming of attribution, no scraping, and no attempt to interfere with the door or payout systems. Accounts that do may be suspended.

Alcohol, age & venue responsibility

Liquor licensing, responsible service of alcohol, capacity, age and ID checks, and event safety are the venue's responsibility. Spite does not serve alcohol or set those rules.

Liability & changes

The platform is provided on an "as is" basis during the pilot. To the extent permitted by law, Spite is not liable for losses arising from event operation, venue decisions, or third-party services. These terms are governed by the laws of Australia and may be updated as the product evolves.

This is a plain-language draft to describe how Spite works during the pilot. It will be finalised with legal review before public release and does not yet constitute legal advice.
